Terms of Service

These Terms of Service ("Terms") govern your access to and use of idolLiveAudio, our websites, account services, download services, license services, Preset Store, Producer Portal, software updates, and related services provided by iLA Soft Co., Ltd..
By accessing or using the services, you agree to these Terms. If you do not agree, do not use the services.
1. The service
idolLiveAudio is a Windows desktop application and online platform designed for live vocal workflows, including vocal processing, music playback, preset management, recording, soundboard features, account services, licensing, updates, and community preset features.
2. Accounts
Some features may require an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate information and keep it updated.
3. License to use the software
Subject to these Terms and any applicable license plan, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use idolLiveAudio for its intended purpose.
You may not reverse engineer, decompile, or attempt to extract source code except where allowed by law; remove copyright, trademark, license, or attribution notices; sell, rent, sublicense, or redistribute the software without permission; bypass licensing, activation, account limits, usage limits, or security features; or use the software to violate laws, rights, platform rules, or third-party terms.
4. Third-party plugins and services
idolLiveAudio may host, load, route, or integrate with third-party plugins, audio drivers, streaming platforms, payment providers, websites, or services. Third-party products are provided by their respective owners and are governed by their own licenses, terms, privacy policies, and support rules.
We are not responsible for third-party plugin behavior, missing plugins, license activation issues, streaming platform restrictions, third-party outages, or changes made by third-party providers.
5. Preset Store and Producer content
If you upload, publish, sell, share, or submit presets, metadata, text, audio references, images, or other content, you represent that you have the rights needed to do so and that your content does not violate any law, platform rule, contract, or third-party right.
You retain ownership of your content. You grant us a worldwide, non-exclusive license to host, store, display, process, distribute, promote, and make your content available through idolLiveAudio and related services for the purpose of operating the platform.
We may remove or restrict content that we believe violates these Terms, infringes rights, creates security risk, or harms the user experience.
6. Payments, subscriptions, and taxes
If paid features are offered, prices, billing periods, included features, limitations, renewal rules, and taxes will be shown at checkout or in the relevant product page. You are responsible for all applicable taxes unless otherwise stated.
7. Updates and changes
We may update, modify, add, or remove features from the software or services. Some updates may be required for security, compatibility, licensing, or continued service access.
8. Acceptable use
You agree not to use the services to violate laws or third-party rights; upload malware, harmful code, spam, or deceptive content; attempt unauthorized access to accounts, systems, licenses, APIs, or infrastructure; scrape, overload, disrupt, or interfere with the services; impersonate another person, company, producer, or brand; or misrepresent plugin ownership, preset compatibility, or licensing status.
9. Beta, preview, and experimental features
Some features may be released as beta, preview, experimental, or early access. These features may be incomplete, unstable, changed, removed, or reset without notice.
10. Support
We may provide support through email, web forms, documentation, or other channels. Support availability and response times may vary by product, plan, language, and issue type.
11. Intellectual property
idolLiveAudio, our websites, product names, logos, software, design, documentation, and related materials are owned by iLA Soft Co., Ltd. or its licensors. These Terms do not transfer any ownership rights to you.
12. Disclaimer
The services are provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee that the services will be uninterrupted, error-free, compatible with all systems, compatible with all plugins, or suitable for every livestream, performance, recording, or professional use case.
13. Limitation of liability
To the maximum extent permitted by law, iLA Soft Co., Ltd. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, failed livestreams, or third-party service issues.
14. Indemnity
You agree to defend, indemnify, and hold harmless iLA Soft Co., Ltd. from claims, damages, liabilities, costs, and expenses arising from your use of the services, your content, your violation of these Terms, or your violation of third-party rights.
15. Termination
We may suspend or terminate access to accounts, licenses, downloads, marketplace features, or services if we believe you violated these Terms, created security risk, abused the service, failed to pay required fees, or caused legal or operational risk.
16. Governing law
Unless mandatory local consumer law provides otherwise, these Terms are governed by the laws of Vietnam. Venue and dispute terms may be updated when paid international distribution, regional stores, or reseller channels are launched.
17. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the services after changes become effective means you accept the updated Terms.
